Terms of Service

1. Provider and Scope
These Terms govern your use of the Noxu mobile app and related cloud services. The service is intended for personal, non-commercial use. The provider is Pascal Fan Wetzel, trading as Ordiia Software, Luisenstrasse 25, 65185 Wiesbaden, Germany. By using the service, you agree to these Terms.
2. Eligibility and Account
- Minimum Age: The service is intended for users aged 16 or older.
- Account Responsibility: You are responsible for your account credentials and activity under your account.
- Credential Storage: You are responsible for securely storing your master password and recovery phrase. If both are lost, encrypted account data is technically irrecoverable and cannot be restored by us.
- Account Information: You must provide accurate account information and keep it up to date.
3. Service Model
Noxu helps you track contracts, deadlines, billing terms, and related documents. Features may change over time for technical, legal, or product reasons.
4. Plans and Features
- Starter: free tier with limited quotas and features.
- Pro: paid tier with expanded quotas and features (including broader AI/cloud capabilities).
- Changes to Limits: Feature and quota details can change going forward for technical, legal, security, or product reasons. Current limits are shown in-app and at Current Plan Limits.
5. Purchases, Renewal, Cancellation, Refunds
The following provisions govern subscriptions and billing.
- Purchase Channels: Pro subscriptions are sold as monthly or yearly plans through app stores/payment providers.
- Auto-Renewal: Subscriptions may auto-renew unless cancelled in your app store subscription settings.
- Cancellation Timing: If you cancel, access generally continues until the end of the paid period.
- Early-Bird Pricing: Early-bird pricing applies only while an eligible subscription remains continuous. If you cancel and later subscribe again, the then-current price may apply.
- Price Changes: If subscription pricing changes, existing subscribers will be notified in advance where required by applicable law or app store/payment provider rules.
- Refund Handling: Refunds are handled under the policies of the store/payment provider through which you purchased.
- Downgrade After Expiry: After expiry, your account may move to Starter limits, including any grace-period handling supported by your billing platform.
- Over-Limit Behavior: If your usage exceeds Starter limits after downgrade, certain features may be restricted until usage is reduced or you re-upgrade. Current enforcement behavior is shown in-app and at Current Plan Limits.
6. AI Features and Trial
The following provisions apply to optional AI functionality.
- Activation: Cloud AI features are optional and may require explicit opt-in.
- Provider Continuity: AI processing is configured to use an EU-based provider by default; for continuity and incident response, we may manually switch providers where reasonably required.
- Trial Allowance: Non-Pro users may receive a limited AI trial allowance. The current allowance is shown in-app and may change in future versions.
- Accuracy Disclaimer: AI output may be incomplete or inaccurate and does not constitute legal, financial, or professional advice.
- User Responsibility: You are responsible for reviewing and validating all AI-generated suggestions.
7. User Content
You retain rights to content you upload. You grant us the limited rights needed to host, process, sync, secure, and display your content for operating the service.
If your account is deleted or terminated, your content is deleted in accordance with the retention periods described in our Privacy Policy, including short-lived backup/tombstone and deletion-audit artifacts for up to 14 days.
8. Acceptable Use
- Lawful Use: No unlawful use of the service.
- System Integrity: No abuse, disruption, unauthorized access attempts, or reverse engineering beyond applicable law.
- Third-Party Rights: No content uploads that violate third-party rights.
9. Privacy and Security
Privacy practices are described in our Privacy Policy. We apply security controls including encrypted transport and access controls, but no internet service is risk-free. International processing and transfer safeguards, where applicable, are described in the Privacy Policy.
10. Intellectual Property
The app, software, branding, and service content are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the service under these Terms.
11. Availability and Changes
The service is provided on an "as available" and "as is" basis. We may update, suspend, or discontinue parts of the service when reasonably required.
12. Reminders and Deadline Calculations
Reminder functionality depends on technical and operational factors outside our reasonable control.
- Notification Delivery: Notification delivery (local/system) depends on third-party systems, operating system policies, device settings, connectivity, and background execution permissions.
- Delivery Limits: Reminders may be delayed, missed, duplicated, or not delivered at all.
- Calculation Limits: Date/deadline calculations can be affected by input quality, timezone settings, daylight-saving changes, or software defects.
- User Responsibility: You remain responsible for independently verifying contractual deadlines, notices, and legal obligations using original contract documents and, where needed, professional advice.
13. Liability
To the maximum extent permitted by law, liability for indirect or consequential damages is excluded. Mandatory statutory liability (including liability for intent, gross negligence, injury to life/body/health, and mandatory product liability) remains unaffected.
For negligent breach of material contractual obligations, liability is limited to foreseeable, contract-typical damages.
To the maximum extent permitted by law, we are not liable for losses resulting from inability to access encrypted data due to lost credentials (master password and recovery phrase). This does not limit mandatory statutory rights.
14. Data Loss and Disaster Recovery
We apply commercially reasonable resilience measures; however, limitations remain.
- No Absolute Guarantee: We do not guarantee uninterrupted availability or absolute preservation of stored data.
- Potential Causes: Data may be lost, corrupted, delayed, or unavailable due to software defects, infrastructure/provider outages, security incidents, user/device issues, or force majeure events.
- Recovery Scope: We use commercially reasonable backup and disaster-recovery measures, but we cannot guarantee complete or point-in-time restoration in every case.
- User Backups: You are responsible for keeping independent copies/exports of important records.
15. Termination
You may stop using the service at any time. We may suspend or terminate access for material or repeated violations of these Terms, non-payment, abuse/fraud, or where required for legal/security reasons.
Where technically feasible, you may export your data using available in-app export features for a reasonable period before deletion takes effect. After termination/deletion, data is handled in accordance with the retention periods described in our Privacy Policy.
16. Changes to These Terms
We may update these Terms. Updated versions become effective when published with a new "Last updated" date. For material changes, we will provide reasonable notice where required by law. Continued use after an update takes effect means acceptance of the revised Terms.
17. Governing Law
German law applies, excluding conflict-of-laws rules, to the extent legally permissible. Mandatory consumer protection rules of your country of residence remain unaffected.
To the extent legally permissible, the courts of Wiesbaden, Germany have jurisdiction. Mandatory consumer rules on jurisdiction and venue remain unaffected.
18. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.
